The SET Board of Governors firmly believes that good corporate governance provides a solid foundation for operational efficiency, transparency, and sustainable growth and that all corporate governance policies and regulations must be founded on the five key governance principles of integrity, fairness, transparency, responsibility, and accountability.
Governance Structure
The SET Board of Governors is in charge of directing the SET group's corporate governance, with relevant committees assisting with governance, legal and regulatory obligations. The SET President is the key executive responsible for driving best practices and enforcing governance policies. The SET Governance Structure is as below:

SET Group Corporate Governance Policy and Code of Conduct

The SET group's Corporate Governance Policy and Code of Conduct were approved by the Board of Governors. Such policy is in accordance with the Organization for Economic Cooperation and Development (OECD) and the Securities and Exchange Commission's Corporate Governance Code for Listed Companies and are tailored to SET operational objectives and stakeholders' expectations.

Prevention of Conflict of Interest
The SET Group prioritizes the avoidance of any activity that may result in a conflict of interest by any stakeholder, directly or indirectly. In situations where an employee's interests may interfere with making an appropriate decision, that employee must be barred from participating in that decision-making process to ensure transparency for the best interest of the SET Group. The SET Group requires that related party transactions be conducted in a discrete manner, only when necessary and in the best interests of the SET Group. A dedicated unit is formed to handle confidential information, with clear data rules and procedures in place to prevent leakage to unrelated parties.

Conflict of Interest Prevention and Management
In addition to the Code of Conduct that governs the Board of Governors, committee members, experts, and employees, the SET has introduced additional guidelines for employees that include examples of scenarios and proposed solutions to avoid conflicts of interest. Employees must carry out their duties impartially and refrain from doing anything that may result in direct or indirect benefits for themselves and/or others. If any employee has a vested interest or a conflict of interest, both directly and indirectly, that employee must refrain from participating in relevant decision-making processes to ensure the best interests of the SET Group.
Confidentiality and Inside Information Protection
SET has implemented the Chinese Wall measure to prevent confidential information sharing among employees within the same or different departments to ensure transparency and effective handling of confidential and sensitive information. The SET also has policies that govern the acquisition and disposition of securities and digital tokens by board members and employees.

Acquisition and Deposition of Listed Securities and digital tokens by Governors and Employees
To foster public trust in the Stock Exchange of Thailand, the SET’s Board of Governors has stipulated the securities trading and digital tokens practices that Governors and staff are required to follow. These practices require that subscription to and trading of securities must be done honestly, without exploitation of confidential information or misuse of authority or position. SET Governors and employees are required to follow specified procedures in the acquisition or disposition of listed securities and digital tokens, as detailed below:

Anti-Corruption
The SET anti-corruption measures, developed in accordance with CAC (Collective Action Against Corruption) best practices, lay out guidelines for governors, committee members, experts, management, and employees to follow in order to ensure integrity and transparency. The implementation of the "No Gift Policy" across the organization has also distinguished the SET Group in terms of high standards of integrity, transparency, and good corporate governance.

The measures also outline the duties and responsibilities of SET governors, committees, executives, and employees in preventing corruption and reporting any activities suspected of violating or failing to comply with these measures.
