Company Limited  ("RAM") at a par value of 0.10 baht per share, which accounts
for 0.42% of the total shares available for sale of RAM at a price of 17.80 baht
per share, totaling 89,623,000 baht, to unrelated persons ("Sale of common
shares of RAM to unrelated persons").

present to the shareholders' meeting for consideration to approve the Chiangmai
Ram Hospital Company Limited ("CMH"), a subsidiary of the company, to sell
investments in 21,315,000 common shares of RAM at a par value of 0.10 baht per
share or 1.78% of all shares that have been issued by RAM, at a price of 17.80
baht per share, totaling 379,407,000 baht, to related persons including Ms.
Rukkagee Kanjanapitak, Mr. Pramuk Unachak and Mr. Phichaya Somburanasin (the
"Sale of RAM Common Stock to Related Persons").

(2)  A resolution was approved to present to the shareholders' meeting for 
consideration to approve the sale of common shares of Chiangmai Ram Hospital
Company Limited (CMH), which is a subsidiary in which the company holds
2,848,000 shares, with a par value of 10.00 Baht per share, accounting for 7.12%
of the total shares issued by CMH, by selling to Ramkhamhaeng Hospital Public
Company Limited  ("RAM"), which is a related party. Following this transaction,
CMH will cease to be a subsidiary of the company and will instead be classified
as an associated company of the company ('Sale of Common Shares of CMH to a
Related Party').

price of 17.80 baht per share, totaling 379,407,000 baht, to related persons
