Key Summary
1. Proposed Acquisition
Subject to the foreign shareholding availability in the Company, the Offeror 
intends to acquire an additional 532,273,639 shares in the Company, equivalent
to 13.81% of its total issued shares (excluding treasury shares held by the
Company). The General Offer is made on the first-come, first-served basis which
will make the Offeror holds the shares in the Company of not exceeding
771,018,759 shares or equivalent to 20% of its total issued shares (excluding
treasury shares held by the Company).
In this regard, in the event that at the end of the Offer Period, the total 
number of shares intended to be sold by the shareholders under this General
Offer is less than 532,273,639 shares or equivalent to 13.81% of its total
issued shares (excluding treasury shares held by the Company). The General Offer
 shall be automatically cancelled.
2. Offer Price Period
The Offer Price for the Company's shares is THB 12.50 per share.
3. Offer Period
The Offer period will last for a total of 15 business days from 8 September 2025
to 26 September 2025 (both dates inclusive) (the "Offer Period"), during the
office hours of the Offer Agent from 9:00 a.m. to 4:00 p.m. Bangkok time. The
Offeree will be required to complete an online general offer by 24 September
2025 or within 2 or in case of scripless form, with the period of time specified
 by the securities company.
In the event that the number of shares for which the Offeree has expressed their
intention to tender reaches the specified amount, the Offeror shall close the
Offer Period early due to the acceptance of the maximum number of shares.
