Subject                                  : Notification of the change of major 
shareholder and change of directors
Description                              :
Thai Parcels Public Company Limited (the "Company") would like to disclose the 
resolutions of the Board of Directors' Meeting No. 6/2025, held on 28 May 2025
at 8.30 p.m., as follows:
1.	Acknowledge the change in major shareholders resulting from the Company 
receiving a notification regarding the acquisition of the Company's shares
through a big lot trade (Trade Report - Big Lot) on 28 May 2025 from the
following persons:
(1) 	Mr. Vorapote Amnueypol, who acquired 111,742,350 shares of the Company, 
representing 21.32% of the total issued and outstanding ordinary shares of the
Company, from Mrs. Vassa Chinavicharana. Mr. Vorapote Amnueypol has nominated
two directors in proportion to his shareholding, namely Miss Pimrachada
Leelayana and Mr. Dan Sornmani; and
(2) 	PIN EQUITIES PTE. LTD. (a company in which Mr. Varoonchai Leekanchanakorn 
holds 100% of the total shares and who is a specific investor subscribing for
190,000,000 newly issued ordinary shares and being allocated 108,571,429 units
of Warrants to Purchase Newly Issued Ordinary Shares No. 2 (TPL-W2) pursuant to
the resolution of the Board of Directors' Meeting No. 5/2025), which acquired
30,000,000 shares of the Company, representing 5.73% of the total issued and
outstanding ordinary shares of the Company, from Mrs. Vassa Chinavicharana.
However, the change in the Company's major shareholder as mentioned above does 
not affect the business administration or organizational structure of the
Company. In addition, Mr. Vorapote Amnueypol and PIN EQUITIES PTE. LTD. do not
have any relation between them. Additionally,  the acquisition of the ordinary
shares of the Company by such person shall not be obliged to make tender offer
for all securities in the Company (Mandatory Tender Offer) since the acquisition
of such shares does not trigger the requirements to make a tender offer for all
securities of the business under the Notification of the Capital Market
Supervisory Board No. TorJor. 12/2554 Re: Rules, Conditions and Procedures for
the Acquisition of Securities for Business Takeovers dated 13 May 2011
2.	Acknowledge the resignation of directors and subcommittee namely Mr. 
Chalermchai Chinavicharana, Mrs. Vassa Chinavicharana and Miss Patcharaporn
Chinavicharana, and approve the appointment of directors in replacement of those
vacating office by resignation prior to expiry of their terms of office, namely
(1) Mr. Dan Sornmani to serve as a director in replacement of Mr. Chalermchai
Chinavicharana and (2) Miss Pimrachada Leelayana to serve as a director in
replacement of Miss Patcharaporn Chinavicharana .
3.	Approve the change of the authorized signatories of the Company as follows:
Old
"Mrs. Vassa Chinavicharana or Miss Patcharaporn Chinavicharana to jointly sign 
with Mr. Komsahaspob Nuttayakul or Mr. Chaipipat Kaewtrirat, with the Company's
seal affixed"
New
"Miss Pimrachada Leelayana to jointly sign with Mr. Komsahaspob Nuttayakul or 
Mr. Chaipipat Kaewtrirat, with the Company's seal affixed"
