(the "REIT Manager") in its capacity as the REIT Manager of Prospect Logistics and Industrial Freehold and Leasehold Real Estate Investment Trust ("PROSPECT") on 11 April 2025 in relation to the notification of record date to determine names of existing trust unitholders entitled to subscribe for trust units in the second capital increase of PROSPECT and on 22 April 2025 in relation to the notification on the registration statement for the offer for sale of trust units and the prospectus for the offer for sale of additional trust units for the second capital increase being in effect, and the additional material information regarding the offer for sale of additional trust units in the second capital increase. The REIT Manager would like to inform the trust unitholders of the additional material information regarding the offer for sale of additional trust units in the second capital increase as follows: 1. The REIT Manager would like to update that all subscribers are required to make subscription payments at the final offering price. In this regard, the REIT Manager has determined the final offering price of additional trust units for the second capital increase of PROSPECT at THB 7.2 per trust unit. 2. The list of the non-Thai nationalities of the existing trust unitholders which the REIT Manager may consider not allocating the additional trust units as it may result in violation of laws, regulations or rules in relation to the offering and allocation of trust units of foreign countries, or cause PROSPECT to incur any burden, or expenses for carrying out any operation beyond those required by Thai laws consists of Canadian, Chinese, Japanese, Taiwanese, Russian, Swiss, Singaporean, American, Australian, British (based on the list of nationalities of the trust unitholders from the latest Record Date on 29 April 2025). However, the underwriter may consider on a case-by-case basis not allocating trust units to unitholders if the conditions under the foreign laws as specified above are not met.
