Offerors are not required to submit an offer to purchase CCN Warrants as, prior
to the submission of the tender offer document, the Offerors are not in
possession of any CCN-W1 warrants and the exercise price of the warrants are
higher than the offered price stipulated in this document, and no CCN-W1
warrants have been obtained by the Offerors within a 90-day period prior to the
submission of the document.
