Key Summary
1. Proposed Acquisition
The Offeror notified its intention to make a general offer to purchase up to 
155,555,500 ordinary shares of the Company, representing 7.01 percent of the
Company's total issued and paid-up ordinary shares (excluding treasury shares
repurchased by the Company. If the total number of securities intended to be
sold under the General Offer exceeds 155,555,500 shares, the Offeror will
acquire shares of the Company up to the Number of securities to be Acquired
only, and will allocate such shares on a pro-rata basis in proportion to the
quantity of securities intended to be sold by each Offeree.
2. Offer Price
The offer price for the ordinary shares of the Company is 9.00 Baht per share 
(nine Baht) (the "Offer Price")
3. Offer Period
The Offeror will purchase securities of the Company only on the business day for
a total period of 12 business days, from 27 April 2026 to 14 May 2026 (both
dates inclusive) (the "Offer Period"), during the business hours of the Offer
Agent from 9.00 a.m. to 4.00 p.m. Bangkok local time.
In this regard, on 26 February 2026, the Board of Directors of the Company 
resolved to convene the 2026 Annual General Meeting of Shareholders on 27 April
2026 and approved a dividend payment at the rate of THB 0.25 per share, with the
 Record Date for dividend entitlement set on 7 May 2026.
The Offer Agent will accept the expressions of intention to sell submitted by 
Offerees, and will commence the transfer of securities from Offerees who
submitted their intention to sell prior to 8 May 2026 into the Offer Agent's
account during the period from 8 May 2026 to 14 May 2026, on every business day
of the Offer Agent from 9.00 a.m. to 4.00 p.m. Bangkok local time. Accordingly,
in such case, Offerees who submit documents prior to 8 May 2026 will appear as
shareholders whose names are recorded in the share register as at 7 May 2026 and
 will retain their entitlement to the Company's dividend.
