Subject                                  : Clarification on the Disclaimer of 
Opinion on the Financial Statements for the Year Ended 31 December 2025
Description                              :
Grande Asset Hotels and Property Public Company Limited (the "Company") has 
submitted its consolidated and separate financial statements for the year ended
31 December 2025 to the Stock Exchange of Thailand. The auditor has issued a
disclaimer of opinion on such financial statements. The Company would like to
clarify the key reasons as follows:

The Group has current liabilities exceeding current assets, and its operating 
results have continuously loss, resulting in accumulated losses, and operating
cash flows that require close liquidity management. In addition, the Company has
certain debentures and interests in default, which are currently under debt
repayment arrangements and litigation. The Group also has lease liabilities with
buy-back obligations, which will be due for buy-back within July 2026.
Furthermore, the Company is involved in litigation concerning the land, located
a Company's hotel, which is currently under consideration by the Court of
Appeal, and a subsidiary is in non-compliance with the terms of the hotel lease
agreement and related rental payments, which are currently under discussion with
 the counterparty
The Group is currently in the process of financial restructuring, with plans to 
dispose of certain assets as well as seeking new sources of funding. These
measures are intended to support its debt reduction plan and enhance financial
liquidity and flexibility, enabling the Group to proceed with its business plans
 as intended.
