Remark                                   :
Reference is made to the resolution of Extraordinary General Meeting of Trust 
Unitholders' Meeting No. 1/2018 of Strategic Hospitality Extendable Freehold and
Leasehold Real Estate Investment Trust ("SHREIT"), held on Tuesday, August
14th, 2018 to approve the capital increase of SHREIT by issuing and offering
additional unit trusts of not more than 415,000,000 units in order to make
additional investments in the additional investment assets, and the methods for
determining the price of those trust units and approve the methods for offering
of the additional trust units and allocating the additional trust units, and
registering the additional trust units as listed securities with the Stock
Exchange of Thailand. The methods for offering the additional trust units are as
 follows:
    
First Portion: Not less than 50 percent of the additional trust units issued and
sold will be offered to current unitholders whose names appear in the
unitholder register (Rights Offering) or to a specific group of persons, whose
names appear in the unitholder register (Preferential Public Offering). Current
unitholders may express an intention to subscribe for the additional trust units
to which they are entitled or oversubscribe or undersubscribe for the same, or
to not subscribe for any additional trust units.

After the first allocation of portion 1 of the additional trust units to the 
current unitholders in accordance with the number of additional trust units to
which each of them is entitled, if there are any unsubscribed additional trust
units from the first allocation of portion 1 to the current unitholders in
accordance with the number of trust units to which each of them is entitled,
Strategic Property Investors Company Limited ("REIT Manager") in its capacity of
the REIT Manager of SHREIT will allocate the remaining additional trust units
to the unitholders who have expressed an intention to subscribe for the same as
the REIT Manager sees fit which shall be in accordance with the details and
procedures regarding the allocation of trust units to the unitholders to be
further informed accordingly.

If the number of additional trust units to which a current unitholder is 
entitled is not a whole number, the decimal shall be rounded down to the nearest
 whole number.

Second Portion: The remaining additional trust units from the allocation of the 
First Portion to the current unitholders shall be offered to the general public
(Public Offering) as the REIT Manager deems appropriate and pursuant to the
Notification of the Securities and Exchange Commission No. Tor. Thor. 27/2559
Re: Guidelines, Conditions, and Methods for the Offer and Sale of Securities,
and Other Relevant Notifications.
    
The details of the trust units appearing in the filing for the offering of trust
units and/or the prospectus for the offering of trust units are to be
considered as the number of trust units to be allotted for sale to investor in
each portion.

In this regard, the REIT Manager has considered to allocate the Preferential 
Public Offering portion to the existing unitholders, whose names appear in the
unitholder register, that are not U.S. Person in order for the offering
additional unit trusts to not have additional duties to comply with laws and
regulations of Thailand related to the issuance and offering of securities and
not be considered as a breach of foreign laws and regulations.
    
REIT Manager has determined the date for the closing of the share register to be
on Friday, November 23rd, 2018 (Book Closing) in order to determine the trust
unitholders who are eligible for the subscription of the additional trust units
for the first capital increase. REIT Manager will notify the right ratio and the
 offering price range in due course.

The registration statement for offering the trust units and draft prospectus for
the first capital increase are under consideration and have not been approved
by the Office of the Securities and Exchange Commission ("SEC Office"). The
offering of additional trust units for the first capital increase will be taken
place upon the SEC Office's approval and registration statement for offering the
 trust units and prospectus becoming effective.
